2. Compliance with Supplier MAP Policies

As a reseller and distributor, BD Trader Company LLC agrees to adhere to the Minimum Advertising Price (MAP) Policies set by the brands, distributors, and suppliers we work with. We are committed to not advertising or promoting any product below the MAP set forth by these partners.

We ensure compliance with all policies and price lists provided by our suppliers, which may be subject to change from time to time. It is our responsibility to stay up-to-date with any changes in these policies and to ensure that all marketing, advertising, and pricing strategies align with the respective MAP guidelines.

3. Scope of Policy

This policy applies to all forms of advertising, including but not limited to:

•Online platforms, such as websites, e-commerce stores, third-party marketplaces (e.g., Amazon, eBay).

•Print media, including catalogs, flyers, and brochures.

•Broadcast media, including radio and television.

•Digital marketing channels, including email campaigns, social media, and search engine ads.

4. Advertising Price

All products subject to MAP restrictions must be advertised at or above the MAP set by the respective supplier or distributor. BD Trader Company LLC will not advertise any product in a way that violates the MAP policy, including through:

•Discounts or promotions that would lower the advertised price below the required MAP.

•“Call for price” or similar language that obscures the actual product price from public view.

•Bundling products in a manner that results in a per-item price below the MAP.

5. Monitoring and Enforcement

BD Trader Company LLC actively monitors the advertising practices of our sales channels and resellers to ensure compliance with our suppliers’ MAP policies. In the event of non-compliance, we will take appropriate corrective actions, including but not limited to:

•Immediate removal or correction of the non-compliant advertising.

•Temporary or permanent suspension of orders and shipments.

•Termination of agreements with any parties that consistently violate the MAP guidelines.

6. Consequences of Non-Compliance

Failure to adhere to the MAP policies set by our distributors and suppliers may result in:

•Written warnings for initial violations.

•Suspension of reseller accounts or the cessation of business relationships for repeated violations.

•Possible legal action if required to enforce compliance.

7. Right to Modify

BD Trader Company LLC reserves the right to modify this policy at any time to better align with the requirements of our suppliers. We will communicate any updates or changes to our resellers and partners promptly.
